Subcontractor Agreement



This Cleaning Services Agreement ("Agreement") is entered into between [BEST HOME SERVICES COMMERCIAL LTD], hereinafter referred to as the "Company," and the self-employed individual signing below, hereinafter referred to as the "Cleaning Contractor." Collectively, the Company and the Cleaning Contractor shall be referred to as the "Parties."



Scope of Services:

1.1 The Cleaning Contractor agrees to provide cleaning services to clients as assigned by the Company.

1.2 The specific cleaning tasks, schedule, and location of services will be communicated by the Company to the Cleaning Contractor.

1.3 The Subcontractor shall supply all necessary labour, materials, and equipment unless otherwise agreed in writing.



Independent Contractor Relationship:

2.1 The Cleaning Contractor acknowledges and agrees that they are an independent contractor and not an employee, partner, or agent of the Company.

2.2 The Cleaning Contractor has the right to control the manner and means by which they perform the cleaning services, provided the results meet the standards set by the Company.

2.3 The Company may conduct audits, spot checks, and further training to ensure quality standards are being met.



Obligations of the Company & Compensation:

3.1 The Company shall provide the Cleaning Contractor with information regarding client assignments, cleaning specifications, and any necessary supplies or equipment where appropriate.

3.2 The Company shall compensate the Cleaning Contractor for services rendered in accordance with the agreed-upon rates and payment terms.

3.3 Payment for services rendered will be made on or by the 15th day of each month for the work completed during the preceding month, i.e., payment on the 15th of the month will cover the period from the 1st to the last day of the previous month.

3.4 The Cleaning Contractor must submit an invoice by the 10th of each month to receive timely payment.

3.5 The Cleaning Contractor shall submit all invoices within three months of completing the relevant services. After this period, the Company shall have no obligation to make payment in respect of those services, and the Cleaning Contractor waives any right to claim such payment.

3.6 The Cleaning Contractor must promptly notify the Company of any overpayment or incorrect payment received. Any such overpayment shall be repaid or may be deducted from future payments.



Obligations of the Cleaning Contractor:

4.1 The Cleaning Contractor shall perform the assigned cleaning services diligently, professionally, and in compliance with the specifications provided by the Company.

4.2 The Cleaning Contractor shall provide their own cleaning supplies, equipment, and transportation necessary to perform the services.

4.3 The Cleaning Contractor shall maintain adequate insurance coverage to protect themselves and the Company against liability arising from the provision of service, including general liability and workers' compensation insurance.

4.4 The Cleaning Contractor is responsible for attending all scheduled cleaning assignments as agreed upon with the Company.

4.5 The Cleaning Contractor acknowledges that attendance and arranging suitable cover by the Cleaning Contractor are fundamental responsibilities of the subcontracting role due to the operational nature of the services provided. If the Cleaning Contractor is unable to fully complete or organise cover for the full assignment duration due to illness, emergency, or any other reason, they must notify the Company in advance or as soon as reasonably possible. Failure to provide adequate notice, repeated short-notice cancellations, lateness causing operational disruption, or failure to complete an assignment may result in removal from assignments, termination of this agreement, non-payment for unworked time, and recovery or deduction of reasonable costs incurred by the Company, including but not limited to emergency cover, additional staffing, taxi or transport costs, and reasonable client compensation, to the extent permitted by law.

4.6 For any unplanned absences due to illness or emergencies, the Cleaning Contractor may be required to provide valid proof within 5 days of the absence. Acceptable proof may include:

A doctor’s note or medical certificate in case of illness.

An official document or reasonable explanation for emergencies (e.g., police report, legal notice, etc.).

4.7 The Cleaning Contractor shall conduct themselves in a professional and respectful manner when interacting with clients, Company representatives, and any third parties encountered while performing services.

4.8 The Cleaning Contractor shall refrain from engaging in any conduct that may be deemed unprofessional, offensive, or inappropriate, including but not limited to harassment, discrimination, or misconduct.

4.9 The Cleaning Contractor must adhere to all client-specific rules, policies, and preferences while performing services on the client’s premises.

4.10 The Cleaning Contractor is responsible for promptly documenting and notifying the Company of any issues or concerns noticed during the course of their cleaning duties. This includes, but is not limited to:

Observing any broken, damaged, or malfunctioning items on the premises

Identifying any areas requiring repairs or attention

Noticing any unusual circumstances or potential safety hazards

Security and lockup concerns

4.11 The Cleaning Contractor must notify the Company immediately upon noticing any issues. This notification should be made via the agreed-upon method and must include a description of the issue, along with the relevant photos or videos.

4.12 The Cleaning Contractor may appoint a suitably qualified substitute, assistant, or subcontractor to carry out work, with notice to and approval of the Company. Any approved substitute, assistant, or subcontractor shall be bound by and comply with all terms of this Agreement and must meet the same standards, qualifications, and requirements as the Cleaning Contractor. The Cleaning Contractor shall remain fully responsible and liable for all acts, omissions, work quality, conduct, and compliance of any such person at all times. Unapproved persons strictly may not enter the nursery premises.

4.13 The Cleaning Contractor must communicate with the Company and Clients in a timely manner.

4.14 The Cleaning Contractor may be requested to provide training to other cleaners, including site-specific training where applicable.

4.15 The Cleaning Contractor may be requested to provide cover at other sites, subject to their availability and agreement.



Conditional Offer and Disclosure of Employment History

5.1 Any offer of work is conditional upon the successful verification of references and submission of documentation, where these have not been checked prior to the signing of this Agreement. The Contractor must ensure that all references provided are accurate and up to date. Any gaps, inconsistencies, or unusual elements in employment history must be disclosed in writing before commencing work.

5.2 The Company reserves the right to rescind or terminate this Agreement with immediate effect if references or any submitted documentation or statements are unsatisfactory, falsified, or if any relevant information comes to light that would have reasonably affected the decision to offer work.



Security Practices

6.1 The Cleaning Contractor agrees to wear a body camera provided by Company, while performing services, if required. The Contractor is responsible for ensuring the body camera is charged, in working order at the start of each shift, not losing or misplacing it, and securely storing all footage.

6.2 The Cleaning Contractor may be required to take a video of any security measures for every completed job, including but not limited to the locking of doors, setting of alarms, and securing of premises, during their exit and after completing cleaning services. This may be required to be captured using their personal mobile phone, a body camera, or another device provided by the Company.

6.2.1 These videos may be required to be stored indefinitely in a shared Apple album or similar secure, accessible storage platform designated by the Company. The Cleaning Contractor agrees to upload the videos to this album shortly after completed service, ensuring they are always accessible to the Company. Where videos are not stored on a shared platform, the Cleaning Contractor agrees to provide any requested footage to the Company within 24 hours.

6.2.2 Failure to provide such videos or consistently neglecting this requirement may result in disciplinary action, including but not limited to termination of this Agreement.

6.3 The Cleaning Contractor acknowledges that videos may be used by the Company for security, compliance, or dispute resolution purposes. The Cleaning Contractor acknowledges that these videos are for their own protection, as they may be used to defend against any liability arising from claims of break-ins, theft, or damage to the property after the cleaning service has been completed.

6.4 If the Cleaning Contractor is uncertain about any aspect of the security procedures, they must document the issue and notify the Company and client immediately. The Cleaning Contractor must not exit the premises until the security concern is resolved or they are notified by the Client or the Company to leave without resolution. This includes but is not limited to situations where the contractor is unsure whether alarms are set, doors are properly locked, or if there are any special security measures required for the property.

6.5 The Cleaning Contractor acknowledges that they are solely liable for any damages, theft, or break-ins that occur because of negligence or failure to properly secure the premises. Any issues or breaches resulting from their failure to follow or document security procedures may result in the Cleaning Contractor being held responsible for the resulting consequences.



Attendance

7.1 The Cleaning Contractor agrees to complete each assigned cleaning job in its entirety, adhering to the agreed-upon scope of work and schedule.

7.2 The Cleaning Contractor is prohibited from leaving a job early unless:

They have received prior written approval from the Company for early departure.

There are exceptional circumstances, such as medical emergencies or safety concerns, that prevent the Cleaning Contractor from completing the job. In such cases, appropriate proof may be required.

7.3 The Cleaning Contractor understands that leaving a job unfinished or early, without just cause or approval, may negatively impact the client’s satisfaction and the Company’s reputation. As such, this behaviour will be treated as a serious breach of this Agreement. Consequences may include:

A deduction from the Cleaning Contractor’s pay for the incomplete job;

The early departure being treated with the same seriousness and consequence procedure outlined for unnotified and short-notice absences.

7.4 Where a job is carried out on a time-based basis, the Cleaning Contractor must accurately disclose the actual time spent completing the assignment. If the time spent is less than the agreed or allocated duration, this must be clearly stated on the invoice. Where additional time is required beyond the agreed duration, the Cleaning Contractor must notify the Company as soon as reasonably practicable and include supporting evidence, such as photos and videos.

7.5 The Cleaning Contractor may be required to use a clock-in and clock-out application designated by the Company to record the time of arrival and departure from each assigned job. The clock-in and clock-out app may utilize geospatial location verification to confirm that the Cleaning Contractor is at the correct location before starting work and when leaving the premises. The Cleaning Contractor agrees to use this app as directed by the Company, ensuring that their location is accurately verified at the start and end of each job. Failure to use the clock-in and clock-out app, or any attempt to falsify or manipulate location data, may result in disciplinary action.



Confidentiality:

8.1 The Cleaning Contractor shall maintain the confidentiality of any client information, trade secrets, or other proprietary information disclosed by the Company and its clients. This obligation shall survive the termination of this Agreement.



Term and Termination:

9.1 This Agreement shall commence upon the Cleaning Contractor’s acceptance of the offer of engagement, or if the offer has already been accepted, on the date this Agreement is signed. It and shall continue until terminated by either Party by providing 60 days written notice to the other Party.

9.2 Either Party may terminate this Agreement immediately in the event of a material breach by the other Party.

9.3 Upon termination, the Cleaning Contractor shall promptly return any Company property, client property, or confidential information in their possession.

9.4 The Primary Contractor may terminate this Agreement immediately for cause, including but not limited to unsatisfactory performance, breach of this Agreement, or violation of any applicable law.

9.5 The Company may provide initial training, including before the contract start date, to the Cleaning Contractor to ensure they meet the required standards and expectations for cleaning services. The cost of this training shall be covered by the Company, subject to the conditions outlined in this clause.

9.5.1 If the Cleaning Contractor terminates this Agreement or ceases to provide services within 6 months of starting their post, they agree to reimburse the Company for training, DBS and insurance reimbursements, administration, and any further related costs.

9.5.2 The Company reserves the right to deduct any owed reimbursement from the Cleaning Contractor’s final payment. If the remaining amount is insufficient, the Cleaning Contractor agrees to pay the outstanding balance within 30 days of termination.



Indemnification:

10.1 The Subcontractor agrees to indemnify and hold harmless the Primary Contractor from any and all claims, liabilities, damages, and expenses arising out of or in connection with the Subcontractor's performance of the Services.



Damage Reporting:

11.1 The Cleaning Contractor must promptly report any accidental damage caused to a client’s property during the performance of services.

11.2 The Cleaning Contractor shall notify the Company in writing within 24 hours of the incident, detailing the nature and extent of the damage.

11.3 The Company shall determine, in its sole discretion, an appropriate resolution, which may include compensating the client or arranging for repairs, and the Cleaning Contractor may be held responsible for any associated costs.



Non-Solicitation:

12.1 The Cleaning Contractor agrees not to solicit, directly or indirectly, any clients introduced to them by the Company for private engagements outside of this Agreement.

12.2 The Cleaning Contractor shall not provide cleaning services to any of the Company’s clients independently during the term of this Agreement and for a period of 3 years following its termination.

12.3 In the event of a breach of this clause, the Company reserves the right to seek legal remedies, including but not limited to damages, injunctive relief, and termination of this Agreement.



Compliance:

13.1 The Cleaning Contractor shall comply with all applicable workplace health and safety regulations while performing cleaning services.

13.2 The Cleaning Contractor is responsible for wearing appropriate protective gear, including but not limited to gloves, masks, and non-slip footwear, as required to ensure their safety and the safety of clients.

13.3 The Cleaning Contractor shall ensure that all cleaning products and equipment used comply with health and safety standards and do not pose any risk to clients or their property.



Damage Liability

14.1 The Cleaning Contractor shall be solely responsible for any damage caused to a client’s property due to negligence, improper use of cleaning products, or failure to exercise due care.

14.2 The Company may, at its discretion, deduct the cost of repairs or replacements from the Cleaning Contractor’s payments or seek reimbursement for any financial losses incurred due to such damage.

14.3 The Cleaning Contractor must carry liability insurance to cover any potential damages.

14.4 Where appropriate, the Cleaning Contractor must hold and is responsible for renewing a valid and up-to-date Disclosure and Barring Service (DBS) check.



Photography & Media

15.1 The Cleaning Contractor acknowledges and agrees that, during the course of their work, photographs, videos, or other media may be taken of the cleaning services, the Contractor in action, or other related activities

15.2 The Cleaning Contractor grants the Company a perpetual, irrevocable, royalty-free, and worldwide license to use, edit, publish, or distribute these Photos in any media format for marketing, promotional, or advertising purposes. This includes, but is not limited to, social media platforms, websites, printed materials, and any other form of media.

15.3 The Company is not required to obtain additional consent or provide compensation for the use of the Photos, nor is the Company obligated to credit the Cleaning Contractor in any publications or media where the Photos are used.

15.4 This clause survives the termination of this Agreement, meaning the Company may continue to use the Photos in accordance with the rights granted herein, even after the Cleaning Contractor has ceased their relationship with the Company.



Governing Law:

16.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or relating to this Agreement shall be resolved through amicable negotiations between the Parties.

16.2 The Subcontractor shall comply with all applicable laws, regulations, and ordinances in the performance of the Services.



Entire Agreement:

17.1 This Agreement constitutes the entire understanding between the Parties and supersedes any prior discussions, understandings, representations, or agreements, whether written or oral, relating to the subject matter herein.






IN WITNESS WHEREOF, the Parties hereto have executed this Cleaning Services Agreement as of the Effective Date first above written.
